Acceptable Use Policy

Net7 Technologies, LLC (“Net7,” “Provider,” “we,” or “us”) provides access to and use of its Services only to: (i) customers who have accepted Provider’s End User License Agreement, its Terms of Service or who otherwise have an agreement with Provider to access and use the services (“Customer”) that is valid and in effect at the time of access (“Customer Agreement”); (ii) third-party vendors that Provider engages from time to time that are related to the provision and support of the services (“Vendors”) that is valid and in effect at the time of access (“Vendor Agreement”); and (iii) Authorized Users of Customers or Vendors. Customer Agreements and Vendor Agreements are collectively referred to herein as “Service Agreements.” Customers and Vendors, and their Authorized Users, are referred to herein as “you.” This Acceptable Use Policy (“AUP”) is between you and Net7 and is automatically incorporated into and a part of the applicable Service Agreement. In the event of any conflict between the applicable Service Agreement and this AUP, the conflicting terms in this AUP will control.

IN ADDITION, AND SUBJECT TO THE TERMS AND CONDITIONS OF THE APPLICABLE SERVICE AGREEMENT, THIS AUP GOVERNS YOUR ACCESS TO AND USE OF THE SERVICES. PROVIDER RESERVES THE RIGHT TO AMEND, ALTER, OR MODIFY YOUR CONDUCT REQUIREMENTS AS SET FORTH IN THIS AUP AT ANY TIME.

BY CLICKING TO ACCEPT OR AGREE TO THE AUP OR BY ACCESSING OR USING THE SERVICES, YOU (A) REPRESENT AND WARRANT THAT YOU ARE ACCESSING THE SERVICES AS AN AUTHORIZED USER UNDER A SERVICE AGREEMENT AND, IF ENTERING INTO THIS AUP FOR AN ORGANIZATION, THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THAT ORGANIZATION; (B) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AUP; (C) AGREE TO BE BOUND BY AND FULLY COMPLY WITH THIS AUP; (D) AGREE, REPRESENT AND WARRANT THAT YOU ARE AT LEAST OF THE AGE OF LEGAL MAJORITY IN YOUR PLACE OF RESIDENCE, OTHERWISE LEGALLY COMPETENT TO ENTER INTO CONTRACTS, AND OTHERWISE HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AUP; AND (E) ACCEPT THIS AUP AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS. IF YOU DO NOT WANT TO AGREE TO THIS AUP, YOU MUST NOT ACCESS OR USE THE SERVICES.

1. DEFINITIONS

  1. “Authorized User” means employees, consultants, contractors, and agents (i) who are authorized by Customer or Vendor, as applicable, to access and use the Services under the rights granted to such Customer or Vendor.

  2. “Services” means the services provided by Provider under this Agreement pursuant to a Customer Agreement or Vendor Agreement.

2. ACCESSING SERVICES AND ACCOUNT SECURITY

  1. We reserve the right to withdraw or amend Services, and any service or material we provide through the Services, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict user access, including Authorized User access, to some or all of the Services.

  2. To access the Services or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Services that all the information you provide through the Services is correct, current, and complete. You agree that all information you provide to register with the Services or otherwise, including, but not limited to, through the use of any interactive features of the Services, is governed by our App Privacy Policy, and you consent to all actions we take with respect to your information consistent with our App Privacy Policy.

  3. If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to the Services or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

  4. We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of this AUP.

3. INTELLECTUAL PROPERTY RIGHTS

  1. The Services and their entire content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Net7, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

  2. This AUP permits you to use the Services for your personal, non-commercial use only.

  3. No right, title, or interest in or to the Services or any content in the Services is transferred to you, and all rights not expressly granted are reserved by Net7. Any use of the Services not expressly permitted by this AUP is a breach of this AUP and may violate copyright, trademark, and other laws.

  4. The Net7 name, the Net7 logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Net7 or its affiliates or licensors. You must not use such marks without the prior written permission of Net7. All other names, logos, product and service names, designs, and slogans used with the Services are the trademarks of their respective owners.

4. PROHIBITED USES

    You may use the Services only for lawful purposes and in accordance with this AUP.

  1. You agree not to use the Services:

    1. In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries);
    2. For the purpose of exploiting, harming, or attempting to exploit or harm, minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise;
    3. To send, knowingly receive, upload, download, use, or re-use any material which violates the rights of any individual or entity established in any jurisdiction;
    4. To impersonate or attempt to impersonate the Provider, a Vendor, Authorized User or another user, or any other person or entity;
    5. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm the Provider, Vendors, or Authorized Users of the Services or expose them to liability;
    6. To promote or market any product or service not available through Provider.
  2. Additionally, you agree not to do, or attempt to do, or encourage or assist anyone to do any of the following:

    1. Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party’s use of the Services, including their ability to engage in real time activities through the Services.
    2. Use the Services in any manner to gain unauthorized access to any data, service, account, network, computers, or devices.
    3. Use any bot, spider, device, method, process, or means, whether manual or automatic, including but not limited to web-scraping or page-scraping, to access the Services for monitoring or copying any Services traffic or resources available in or through the Services or for any other unauthorized purpose.
    4. Use any device, software, or routine that interferes with the proper working of the Services.
    5. Introduce any viruses, trojan horses, worms, logic bombs, code, instructions or other software or material which is malicious, technologically harmful or causes injury to anyone.
    6. Gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services or any server, computer, database, or other resource or element connected to the Services.
    7. Violate or knowingly facilitate the violation of the security or integrity of the Services.
    8. Create derivative works of the Services, Provider’s user manuals, handbooks, and guides relating to the Services, or any software made available as part of the Services.
    9. Use the Services, Provider’s user manuals, handbooks, and guides relating to the Services, or any software made available as part of the Services, to build or create a competitive product or service to the Services.
    10. Reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to source code, trade secrets, algorithms, or any other software component of the Services, in whole or in part.
    11. Remove, alter or obfuscate any confidentiality notices or copyright notices on any material, data and information included in or accessed through the Services.
    12. Gain access to Services or any data, content and information available in or through the Services beyond the scope of the access granted to you under the applicable Service Agreement.
    13. Circumventing access or use restrictions in the Services, including but not limited to hacking, key logging, or password mining.
    14. Providing unauthorized access to the Services through your account.
    15. Transferring your account to anyone else.
    16. Sharing user accounts or passwords.
    17. Otherwise interfering with the proper working of the Services.

5. CONTENT STANDARDS

You agree not to use the Services to send, knowingly receive, upload, download, use, or re-use any material which:

  1. Contains any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  2. Promotes sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  3. Infringes any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
  4. Violates the legal rights (including the rights of publicity and privacy) of others or contains any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with this AUP or our App Privacy Policy.
  5. Is likely to deceive any person.
  6. Promotes any illegal activity, or advocates, promotes, or assists any unlawful act.
  7. Causes annoyance, inconvenience, or needless anxiety or is likely to upset, embarrass, alarm, or annoy any other person.
  8. Impersonates any person, or misrepresents your identity or affiliation with any person or organization.
  9. Involves commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
  10. Gives the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

6. MONITORING AND ENFORCEMENT

Provider, in its sole discretion, will determine whether your conduct is in compliance with this AUP. We have the right to:

  1. Monitor your use of the Services for any purpose in our sole discretion and as we see fit.
  2. Take any action we deem necessary or appropriate in our sole discretion if we believe a user’s conduct violates this AUP, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for the Provider.
  3. Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
  4. Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services.
  5. Terminate or suspend your access to all or part of the Services for any or no reason, including without limitation, any violation of this AUP.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone who accesses or uses the Services. YOU WAIVE AND HOLD HARMLESS NET7 AND ITS AFFILIATES, LICENSEES, VENDORS AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

7. DISCLAIMER OF WARRANTIES

YOU UNDERSTAND THAT WE CANNOT AND DO NOT GUARANTEE OR WARRANT THAT FILES AVAILABLE FOR DOWNLOADING FROM THE INTERNET OR THE SERVICES WILL BE FREE OF VIRUSES OR OTHER DESTRUCTIVE CODE. YOU ARE RESPONSIBLE FOR IMPLEMENTING SUFFICIENT PROCEDURES AND CHECKPOINTS TO SATISFY YOUR PARTICULAR REQUIREMENTS FOR ANTI-VIRUS PROTECTION AND ACCURACY OF DATA INPUT AND OUTPUT, AND FOR MAINTAINING A MEANS EXTERNAL TO OUR SITE FOR ANY RECONSTRUCTION OF ANY LOST DATA. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES OR YOUR DOWNLOADING OF ANY MATERIAL THROUGH THE SERVICES, OR ON ANY WEBSITE LINKED TO IT. YOUR USE OF THE SERVICES, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER NET7 NOR ANY PERSON ASSOCIATED WITH NET7 MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER NET7 NOR ANYONE ASSOCIATED WITH NET7 REPRESENTS OR WARRANTS THAT THE SERVICES, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. TO THE FULLEST EXTENT PROVIDED BY LAW, NET7 HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

8. THIS AUP IS SUBJECT TO THE LIMITATIONS OF LIABILITY SET FORTH IN THE APPLICABLE SERVICE AGREEMENT.

9. You agree to defend, indemnify, and hold harmless Net7, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of this AUP or your use of the Services, including, but not limited to, your user contributions, any use of the Service’s content, services, and products other than as expressly authorized in AUP, or your use of any information obtained from the Services.

10. This AUP shall be governed by and construed in accordance with the same internal laws as that of the applicable Service Agreement and any and all controversies, claims, or disputes arising out of, relating to, or connected with this AUP or the rights granted hereunder shall be instituted exclusively through the jurisdiction as set forth in the applicable Service Agreement.
